Agreement to Terms

Welcome to nuikl. By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our services.

User Accounts

Account Responsibilities

• You are responsible for safeguarding your account password
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not use another user's account without permission
• You may not use a username that is offensive or violates any trademark rights

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Acceptable Use

• To introduce any viruses, trojan horses, worms, logic bombs, or other malicious material
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service

Content Policy

User-Generated Content

Our Service may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, or other material ("Content"). You are responsible for the Content that you post on or through the Service.

Content License

By posting Content, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain all rights to any Content you submit, post, or display.

Subscriptions and Payments

Billing

• You can cancel your subscription renewal through your account settings
• Certain payment methods may be subject to additional terms

Refunds

Except when required by law, paid subscription fees are non-refundable. We may, in our sole discretion, offer refunds on a case-by-case basis.

Limitation of Liability

IN NO EVENT SHALL NUIKL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Indemnification

You agree to defend, indemnify, and hold harmless NUIKL and its licensee and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Los Angeles, California, using the English language in accordance with the Arbitration Rules and Procedures.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
